Hutchinson Clinic files to incorporate as new entity

Hutchinson Clinic officials have filed with the state to incorporate as Hutchinson Physicians Inc., according to state documents.

Michael Heck, Hutchinson Clinic CEO, is listed as the resident agent of the new entity, which was formed Aug. 25.

The Hutchinson Clinic is still incorporated as a professional association with the state. No documents have been filed with the state to unincorporate it.

According to the Hutchinson Clinic PA’s most recent annual report, filed in April, the clinic had about 60 physician shareholders with 1.58 percent shares each.

Previously, the clinic’s articles of incorporation with the state gave the clinic authorized capital stock worth $500,000 as 50,000 shares at a value of $10 each.

The new Hutchinson Physicians Inc. authorizes $200,000 in stock as 20,000 shares worth $10 each. Documents filed with the state do not list specific shareholders or their shares with the new entity but do list seven directors for the new Huchinson Physicians Inc., which are also board members listed on the Hutchinson Clinic’s website: internist James Ruhlmann; internist Timothy Crater; neurologist William Mallonee; family practitioner David Starkey; OB/GYN Marci Eck; pediatrician Chad Issinghoff; and oncologist Fadi Estephan.

Officials from the Hutchinson Clinic did not return requests for comment.
